Terms of Service
SpotReel AI Terms of Service
These Terms of Service (the "Terms") are entered into between you and SpotReel AI ("SpotReel AI," "we," "us," or "our"). These Terms govern your access to and use of our mobile application, website, and related services (collectively, the "Services"). Your use of the Services is also governed by our Privacy Policy.
Please read these Terms and the Privacy Policy carefully before using the Services. By continuing to access or use the Services, you confirm that you understand and accept these Terms and the Privacy Policy. If you do not agree, you must stop using the Services.
We may update these Terms from time to time. If an update materially affects your rights or obligations, we will notify you by reasonable means, such as an in-app notice. Continued use of the Services after the effective date of updated Terms means that you accept the revised Terms.
1. Eligibility and Minors
If you have not reached the age of majority under the laws of your jurisdiction, you may use the Services only with prior consent from your parent or legal guardian.
The Services are not available to users who have not reached the minimum legal age required in their jurisdiction. You must not request, generate, upload, or distribute sexualized, exploitative, or otherwise unlawful content involving minors. If you are a parent or legal guardian and believe your child has provided personal data to us in violation of these Terms, please contact us promptly so that deletion may be requested.
2. User Accounts and Login
- You may access certain features without completing a formal account creation process. To operate core features reliably, we may assign a unique internal user ID, which functions only as a system identifier and is not intended to identify you personally.
- To support basic functions, we may collect necessary device information such as operating system type, unique device identifier, IP address, app version, and network access type. We will not access your photo album or files without your explicit authorization.
- You are responsible for protecting your device and login credentials. If you discover unauthorized access or suspected misuse, please notify us through official channels.
- If you use the Services on behalf of an organization, you represent that you have authority to bind that organization and perform the related obligations.
- If you log in through a third-party platform, you must comply with that platform's user agreement and are responsible for maintaining the confidentiality of the relevant login credentials.
- Your use of the Services is subject to these Terms and our Privacy Policy.
3. Service Functions and User Permissions
SpotReel AI may provide creative tools, templates, filters, fonts, stickers, AI generation functions, and other materials or functions. Access to your photo album, camera, files, or similar device resources requires your explicit authorization. You may revoke that authorization at any time through your device settings.
If you share edited or generated content through a third-party platform, you must first ensure that you have complete and lawful ownership, license, or permission to use and share that content, and that your sharing complies with applicable laws, these Terms, and the rules of the third-party platform.
4. License to Use the Services
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services only in accordance with these Terms.
All rights in and to the Services, including intellectual property rights and other lawful rights and interests, belong to SpotReel AI or our authorized licensors. Unless expressly permitted by law or by us, you may not copy, modify, distribute, reverse engineer, decompile, or create derivative works based on the Services.
We may update, iterate, adjust, suspend, or terminate any function of the Services. If such a change materially affects your use of the Services, we will, where reasonably practicable, provide advance notice through effective channels.
5. Rules for Using the Services
- You must not use the Services for activities that violate applicable laws, including the laws of the People's Republic of China, Singapore, or any other applicable jurisdiction.
- You must not upload viruses, Trojan horses, harmful code, or any content or tool designed to interfere with the stability or security of the Services.
- You must not attempt to access servers, databases, core systems, or other protected parts of the Services without authorization.
- You must not abuse service permissions, send spam, engage in commercial fraud, circumvent app store review rules, or conduct activities that violate public order, good morals, or applicable law.
- If you believe your intellectual property rights have been infringed, you may send us a written notice. We will take necessary measures such as removing or disabling access to infringing content in accordance with applicable laws and these Terms.
AI-generated output is produced automatically by algorithms. The truthfulness, accuracy, completeness, and suitability of generated content do not represent our position. You are responsible for verifying the legality and appropriateness of generated content and for respecting third-party rights such as name rights, portrait rights, privacy rights, publicity rights, and intellectual property rights.
6. Prohibited Content
You must not use the Services to create, upload, generate, share, or distribute content that:
- violates law, is harassing or hateful, or includes sexually explicit or exploitative material involving minors;
- illegally collects, uses, or discloses another person's private information or infringes publicity rights;
- incites, assists, or encourages unlawful or criminal acts;
- misleads others through impersonation, false identity, or non-consensual intimate images;
- uses another person's intellectual property without authorization or otherwise infringes copyrights, trademarks, patents, or other lawful rights.
We may block, delete, restrict, or refuse to distribute information that violates the above rules or any applicable content policy of the Services.
7. Ownership and Intellectual Property
- Copyrights, trademarks, patents, and other intellectual property rights associated with the Services are owned by SpotReel AI or our authorized licensors.
- You may use materials made available by us only within the intended and preset functions of the Services and may not misuse such materials outside that scope.
- We may use comments, suggestions, and other feedback you voluntarily provide for business operations, product iteration, service optimization, and experience improvement without compensation to you.
8. User Content and Generated Content
You retain ownership and lawful rights in content that you submit, upload, provide, create, or generate through the Services ("User Content"). By submitting User Content, you represent and warrant that you have all rights, consents, and authorizations necessary to submit it and to grant the license described below.
You grant us a non-exclusive, worldwide, royalty-free, revocable license to use User Content only for purposes related to providing the Services, optimizing functions, marketing promotion, and generating AI output content. Unless expressly agreed in writing or authorized by your prior consent, we will not use User Content or generated content for model training, algorithm improvement, or unrelated commercial purposes.
If you previously consented to model training or algorithm optimization, you may revoke consent through official contact channels, subject to mandatory legal requirements, technical feasibility, and the details described in the Privacy Policy. Any revocation applies only to future use after revocation. Due to technical irreversibility and legal requirements, model parameters derived before revocation may not be removable.
Retention and deletion of User Content and related information are governed by our Privacy Policy. You may request deletion of User Content or account cancellation through official contact information, and we will process such requests in accordance with applicable law, technical feasibility, operational needs, backup rules, and statutory retention duties.
9. Intellectual Property Complaints and Legal Notices
If you believe any User Content or generated content infringes your intellectual property rights, you should submit a written notice that includes the work you claim rights in, proof of rights, the location or URL of the allegedly infringing content, a description of the alleged infringement, your name, contact information, mailing address, and other identity details reasonably needed for verification.
We will verify and respond to valid takedown requests in accordance with applicable law. If we receive a valid counter-notification and confirm that it satisfies legal requirements, we may restore access to the relevant content as permitted by law.
To report policy violations, illegal or non-compliant content, child safety concerns, DMCA notices, copyright complaints, or other legal documents, contact us at [email protected]. Please provide complete and detailed supporting materials so we can investigate efficiently.
10. Fees, Purchases, and Refunds
- The application may be downloaded for free, and basic functions may be provided free of charge.
- Certain premium features, credits, or paid functions may require a one-time in-app purchase through the Apple App Store.
- All payment-related transactions are processed by Apple Inc. You must comply with Apple's service terms and payment rules when making purchases.
- One-time in-app purchases do not automatically renew. The unlock rules for paid features are shown on the purchase page.
- Refunds for Apple in-app purchases are handled solely by Apple Inc. and are subject to Apple's official refund policy and procedures.
- If you encounter a payment issue, you may contact Apple Inc. or contact us for support.
- If your misuse of the Services or violation of these Terms causes losses to us or others, you may be responsible for related costs, damages, and compensation obligations as permitted by applicable law.
11. Service Updates and Availability
We may update the Services from time to time. Some updates may be required for continued use, and certain functions may not work properly if you do not install required updates.
Service interruptions may occur because of maintenance, version upgrades, emergencies, network failures, security incidents, or circumstances beyond our reasonable control. We will use reasonable efforts to maintain service availability but do not guarantee uninterrupted or error-free operation.
12. Disclaimer
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all express or implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will operate continuously, securely, or without error.
13. Limitation of Liability
To the extent permitted by applicable law, we are not liable for indirect, incidental, special, punitive, consequential, or business-related losses, including lost profits, business interruption, or losses arising from third-party acts related to the Services.
Our maximum aggregate liability for matters related to the Services is capped at the amount you actually paid for the relevant paid function. If you have not purchased paid functions, our liability is limited to the minimum amount required by applicable law, if any.
Nothing in these liability limitations restricts non-waivable consumer rights that cannot be limited by agreement under applicable law.
14. Indemnification
You agree to use the Services responsibly and comply with applicable laws and these Terms. If your unlawful conduct, unauthorized activity, misuse of the Services, or violation of these Terms causes economic loss or infringement of rights to us or a third party, you shall bear the corresponding indemnification obligations and legal consequences in accordance with applicable law.
15. Governing Law and Dispute Resolution
Unless mandatory local consumer protection laws provide otherwise, the formation, validity, performance, and interpretation of these Terms are governed by the laws of Singapore.
Any dispute arising out of or in connection with these Terms shall be submitted to the Singapore International Arbitration Centre for arbitration, unless applicable law expressly allows you to bring proceedings in a competent local court.
16. Severability and Agreement Validity
If any provision of these Terms is held invalid or unenforceable by a competent authority, the remaining provisions will remain valid and enforceable to the fullest extent permitted by law.
